EventSail Service Agreement

This Service Agreement ("Agreement") is between Skara Brae LLC, a Nevada limited liability company ("EventSail," "we," "us"), and the organization creating an EventSail account ("Customer," "you"). By checking the agreement box during signup, the person completing signup represents that they are authorized to bind the Customer, and the Customer agrees to this Agreement.

1. The service

EventSail is a hosted software platform for arts organizations: a public website, event and schedule management, auditions and registrations, volunteer coordination, programs and enrollment, communications, and related tools, as described at eventsail.co. We may improve or modify features over time; we will not materially reduce the core service during a paid term.

2. Your account and content

You retain all rights to the content and data your organization enters — your events, people, media, and records ("Customer Data"). You grant us the license needed to host, display, and process Customer Data solely to provide the service. You are responsible for the accuracy of Customer Data, for maintaining the confidentiality of your users' credentials, and for ensuring your use complies with applicable law, including laws governing communications to your members and data about minors collected through programs and enrollment.

3. Fees and trial

New accounts begin with a free trial (currently 30 days). Paid plans and prices are listed at eventsail.co/pricing; fees are billed in advance, monthly or yearly, and are non-refundable except as required by law. We may change prices with at least 30 days' notice, effective at your next renewal. If fees go unpaid after notice, we may suspend the service until the balance is settled.

4. Payments to your organization

Payments from your patrons (donations, program fees, and similar) are processed through your organization's own Stripe account under Stripe's terms. Those funds flow directly to you; EventSail is not a party to those transactions, does not hold your funds, and is not responsible for chargebacks, refunds, or disputes between you and your patrons.

5. Privacy and data

Our handling of personal information is described in the EventSail Privacy Policy. You are the controller of Customer Data; we process it on your behalf. We will not sell Customer Data or use it for advertising. We use industry-standard safeguards, but no service can guarantee perfect security.

6. Acceptable use

You will not use the service to send unlawful or unsolicited bulk email, infringe others' rights, distribute malware, or attempt to breach or overload the platform. We may suspend accounts that endanger the service or other tenants, with notice where practicable.

7. Availability and support

We aim for high availability but do not guarantee uninterrupted service. Planned maintenance will be scheduled considerately. Support is provided by email at support@eventsail.app.

8. Term, termination, and your data

This Agreement runs while you have an account. You may cancel at any time, effective at the end of the current billing period. We may terminate for material breach that remains uncured 30 days after notice, or immediately for violations of Section 6. For 60 days after termination, we will make Customer Data available for export in a reasonable format on request; after that we may delete it.

9. Disclaimers and liability

THE SERVICE IS PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE FEES YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE (OR $100 IF YOU HAVE PAID NO FEES). Nothing in this Agreement limits liability that cannot be limited by law.

10. General

This Agreement is governed by the laws of the State of Nevada, with venue in Clark County, Nevada. It is the entire agreement about the service and supersedes prior discussions. We may update this Agreement; material changes will be announced at least 30 days before taking effect, and continued use after that constitutes acceptance. If any provision is unenforceable, the rest remains in effect.
